'Capital increases of stock corporations under the Future Financing Act (ZuFinG)': This paper examines the changes to capital increase law introduced by the Future Financing Act (ZuFinG) of December 11 2023 to facilitate equity raising for German stock corporations. It analyzes the increases in the volume limits for the simplified exclusion of preemptive rights (Section 186 (3) Sentence 4 AktG) and for conditional capital (Section 192 (3) AktG) as well as the redesign of the anti-dilution protection (Sections 255-255b AktG) with the associated introduction of a stock market-based valuation rule.
